Terms of Use

These Terms of Use (the "Agreement") set forth the terms and conditions for the provision of the Service and the rights and obligations between the Company and all registered users. You must read the Agreement in its entirety and agree to the Agreement using the Service. This document is a reference translation of the Japanese version prepared for your reference only, and while every effort has been made to make it as accurate as possible, please note that it may contain errors. In the event of any discrepancy between this document and the Japanese version, the provisions of the Japanese version shall prevail and apply.

1. application
1.1  The purpose of this Agreement is to set forth the terms and conditions of the Service and the relationship of rights and obligations between the Company and the registered user regarding the use of the Service, and shall apply to all relationships between the registered user and the Company regarding the use of the Service.
1.2  The rules for use of the Service, "https://www.eudaimoniauniverse.com/omusubi", posted by the Company on its website, shall constitute a part of these Agreements.
1.3  In the event of any discrepancy between the contents of these Agreements, the rules and other explanations of the Service outside of these Agreements, the provisions of these Agreements shall take precedence.

2.Definition
The following terms used in this Agreement shall have the meanings set forth below.
(a) "Service Usage Contract" means a contract for the use of the Service between the Company and a Registered User, which is concluded under the terms and conditions of this Agreement.
(b) "Intellectual Property Rights" means copyrights, patents, utility model rights, design rights, trademarks and other intellectual property rights (including the right to acquire such rights or to apply for registration of such rights).
(c) "User Data" means any content (including but not limited to text, images, video, and other data) entered or transmitted by Registered Users using the Service.
(d) "Company" means Eudaimonia Universe Inc.
(e) "Our website" means the website operated by us, whose domain is
"http://omusubi.eudaimoniauniverse.com/" (if the domain or content of our website is changed
for any reason, the website after such change is included).
(f) "Registered User" means an individual or legal entity that has been registered as a user of the Service in accordance with Article 3 (Registration).
(g) "Service" means the service named "Omusubi" (including the service after such change if the name or content of the service is changed for any reason) provided by the Company.

3.Registration
3.1  A person who wishes to use the Service (the "Prospective User") agrees to abide by these Agreements and provide the Company with certain information determined by the Company (the "Registration Matters").
3.2  The Company will determine whether or not to register the applicant who has applied for registration in accordance with the Company's standards under Section 1 (the "Applicant"), and if the Company approves the registration, the Company will notify the Applicant to that effect. The registration of the Applicant as a registered user shall be deemed to have been completed upon the Company's notification in accordance with this section.
3.3 Upon completion of registration as stipulated in the preceding paragraph, a service use contract will be established between the registered user and the Company, and the registered user will be able to use the Service in accordance with these Agreements.
3.4  The Company reserves the right to refuse registration or re-registration of any applicant for any of the following reasons, and shall not be obligated to disclose any reason for such refusal.
(a) In the event that any falsehood, error or omission is found in all or part of the registration information provided to the Company
(b) The applicant is a minor, an adult ward, a person subject to conservatorship or assistance, and has not obtained the consent of a legal representative, guardian, conservator or assistant
(c) Antisocial forces, etc. (meaning organized crime groups, members of organized crime groups, right-wing groups, antisocial forces, or other similar persons. The same shall apply hereinafter) (i.e., a person who is a member of a crime syndicate, organized crime group, right-wing group, antisocial force, or other similar group), or a person who cooperates with or is involved in the maintenance, operation, or management of antisocial forces, etc. through the provision of funds or other means
(d) If we determine that you have violated a contract with us in the past or are related to a person who has violated such a contract
(e) If you have been subjected to any of the measures set forth in Article 10
(f) Other cases in which the Company deems the registration is not appropriate

4. Change of registration details
The Registered User shall notify the Company of any change in the registered information without delay in a manner determined by the Company.

5. Password and user ID management
5.1  Registered Users shall, at their own responsibility, properly manage and store their passwords and user IDs for the Service, and shall not allow any third party to use them, or lend, loan, transfer, change the name of, sell, or otherwise dispose of them.
5.2 Registered Users shall be responsible for any damages caused by inadequate management of the password or user ID, errors in use, or use by a third party.

6. Fees and Payment Methods
6.1  Registered Users shall pay the Company the usage fee separately determined by the Company and displayed on the Company's website as compensation for the use of the Service, by the payment method designated by the Company.
6.2  If a Registered User is late in paying the usage fee, the Registered User shall pay to the Company a late fee at the rate of 14.6% per annum.

7. Prohibitions
In using the Service, Registered Users shall not engage in any of the following acts, or any act that the Company deems to fall under any of the following items.
(a) Actions that violate laws and regulations or are related to criminal activities
(b)  Fraud or threats against the Company, other users of the Service, or other third parties
(c) Acts against public order and morals
(d) Any act that infringes on the intellectual property rights, portrait rights, rights of privacy, honor, or any other rights or interests of the Company, other users of the Service, or any other third parties
(e) Transmitting to us or other users of the Service, through the Service, any information that we deem to fall under or correspond to any of the following
・Information containing excessively violent or cruel expressions
・Information that contains computer viruses or other harmful computer programs
・Information that includes expressions that defame or discredit the Company, other users of the Service, or other third parties
・Information containing excessively obscene expressions
・Information containing expressions that promote discrimination
・Information containing expressions that encourage suicide or self-harm
・Information containing expressions that promote the inappropriate use of drugs
・Information containing antisocial expressions
・Information seeking to spread information to third parties, such as chain mail
・Information containing expressions that may cause discomfort to others
(f) Actions that place an excessive load on the Service's network or system
(g) Reverse engineering or other analysis of software or other systems provided by the Company
(h) Acts that may interfere with the operation of this service
(i) Unauthorized access to our network or systems, etc.
(j) Impersonation of a third party
(k) Use of IDs or passwords of other users of the Service
(l) Advertising, publicity, solicitation, or sales activities on the Service that are not authorized in advance by the Company
(m) Collection of information about other users of this service
(n) Acts that cause disadvantage, damage, or discomfort to the Company, other users of the Service, or other third parties.
(o) Acts in violation of the rules regarding the use of the Service posted on the Company's website " https://www.eudaimoniauniverse.com/omusubi "
(p) Provision of benefits to Antisocial forces, etc
(q) Aiming to meet someone of the opposite sex whom you are not acquainted with
(r) Acts that directly or indirectly cause or facilitate any of the aforementioned acts
(s) Attempting any of the preceding acts
(t) Other activities that the Company deems inappropriate

8.Suspension of this service
We reserve the right to suspend or discontinue all or part of the Service without prior notice to Registered users in any of the following cases.
(a) In case of urgent inspection or maintenance of the computer system related to this service
(b) In the event that this service cannot be operated due to computer or communication line failures, mishandling, excessive concentration of access, unauthorized access, hacking, etc.
(c) In the event that this service cannot be operated due to force majeure such as earthquake, lightning, fire, windstorm, flood, power outage, natural disaster, etc.
(d) In any other cases that we deem it necessary to suspend or discontinue the service.

9.Attribution of rights
9.1  All intellectual property rights related to our website and the Service belong to us or to the licensors who have licensed them to us, and the permission to use the Service under these Terms of Use does not imply a license to use the intellectual property rights related to our website or the Service held by us or by the licensors who have licensed them to us.
9.2  Registered Users represent and warrant to us that they have the lawful right to enter or transmit their User Data and that their User Data does not infringe upon the rights of any third party.
9.3  Registered Users grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, create derivative works from, display, and perform the User Data. You also grant to other Registered Users a non-exclusive license to use, reproduce, distribute, create derivative works from, display, and perform any User Data entered or transmitted by Registered Users using the Service.
9.4  Registered Users agree not to exercise their moral rights of authorship against the Company or any person who has succeeded to or been granted rights by the Company.

10.Cancellation of registration
10.1  In the event that any of the following events occurs to a Registered User, we may, without prior notice or demand, delete or hide the user data, temporarily suspend the use of the Service by such registered user, or terminate the registration of such registered user as a registered user.
(a) Violation of any of the provisions of these Agreements
(b) When it is found that there is a false fact in the registration information
(c) the Company ceases to make payments or becomes insolvent, or a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, corporate reorganization proceedings, special liquidation, or similar proceedings
(d) If you have not used this service for more than 6 months
(e) If you have not responded to our inquiries or other communications requesting a response for more than 30 days
(f) When any of the items of Article 3, Paragraph 4 applies
(g) In any other case in which we deem it inappropriate for you to use the Service or to continue your registration as a Registered User.
10.2  In the event of any of the cases described in the preceding paragraph, the Registered User shall lose the benefit of time for all debts owed to the Company, and shall immediately pay all debts owed to the Company.

11.Withdrawal from membership
11.1  A Registered User may withdraw from the Service and terminate his/her registration as a Registered User upon completion of the procedures prescribed by the Company.
11.2  Upon withdrawal from the membership, if there are any debts owed to the Company, the Registered User will naturally lose the benefit of time with respect to all debts owed to the Company, and must immediately pay all such debts to the Company.
11.3  The handling of user information after withdrawal from membership shall be in accordance with the provisions of Article 15.

12.Change or termination of this service
12.1  The Company may change the contents of the Service or terminate the provision of the Service at its own convenience.
12.2  In the event that the Company terminates provision of the Service, the Company shall notify Registered Users in advance.

13.Disclaimer of Warranty and Disclaimer of Liability
13.1  We make no warranty, express or implied, that the Service will be suitable for any particular purpose of the Registered User, that it will have the expected functions, commercial value, accuracy, or usefulness, that the use of the Service by the Registered User will conform to the laws and regulations applicable to the Registered User or the internal rules of any industry organization, that the Service will be continuously available, or that defects will not occur.
13.2  We shall not be liable for any damages incurred by Registered Users in connection with the service beyond the amount of consideration paid to us by Registered Users during the past 12 months, nor shall we be liable for incidental, indirect, special, future or lost profits damages.
13.3  Registered Users shall be responsible for resolving any transactions, communications, disputes, etc. between them and other Registered Users or third parties in connection with the Service or the Company's website.

14.Confidentiality
Registered Users shall treat as confidential any non-public information disclosed by the Company to Registered Users in connection with the Service that the Company requires to be treated as confidential, except with the prior written consent of the Company.

15.Handling of user information
15.1  The Company's handling of user information of Registered Users shall be governed by the Company's Privacy Policy "https://www.eudaimoniauniverse.com/privacy-policy", and Registered Users shall consent to the Company's handling of user information of Registered Users in accordance with this Privacy Policy.
15.2  We may, at our discretion, use and disclose information, data, etc. provided by Registered Users to us as statistical information in a form that does not identify individuals, and Registered Users shall not object to this.

16.Modification of these Agreements
We reserve the right to change these Agreements as deemed necessary by us. In the event of modification of the Agreement, the Company will notify Registered Users of the effective date and content of the modified Agreement by posting the revised Agreement on the Company's website or by other appropriate means. However, in the case of changes that require the consent of registered users under the law, the Company shall obtain the consent of Registered Users in the manner prescribed by the Company.

17.Contact/notification
17.1  Inquiries regarding the Service and other communications or notifications from Registered Users to the Company, as well as notifications regarding changes to the Agreements and other communications or notifications from the Company to Registered Users, shall be made in a manner determined by the Company.
17.2  If we contact or notify the e-mail address or other contact information included in the registration information, the Registered User will be deemed to have received such contact or notification.

18.Assignment of Status under Service Usage Contract
18.1  Registered Users may not assign, transfer, grant a security interest in, or otherwise dispose of their status under the Agreement or their rights or obligations under this Agreement to any third party without the prior written consent of the Company.
18.2  In the event that we transfer the business of this service to another company, we may transfer the status of the user contract, rights and obligations under these Agreements, and Registered User's registered matters and other customer information to the transferee of such business transfer, and the Registered User agrees to such transfer in this section in advance. Registered Users shall be deemed to have agreed in advance to such transfer. The business transfer stipulated in this section shall include not only ordinary business transfers, but also corporate divestitures and any other cases in which business is transferred.

19.Severability
If any provision of these Agreements or any part thereof is determined to be invalid or unenforceable under the Consumer Contract Act or other laws or regulations, the remaining provisions of these Agreements and the remaining portions of any provision determined to be invalid or unenforceable in part shall remain in full force and effect.

20. Governing law and court of competent jurisdiction
20.1  These Agreements and the Service Use Agreement shall be governed by and construed in
accordance with the laws of Japan.
20.2  The Tokyo District Court shall have exclusive jurisdiction in the first instance over any and
all disputes arising out of or in connection with these Agreements or the Service Use Agreement.
